Terms of Service (B2B)

These terms apply to B2B contracts between Zender Resources Group (ZRG Mineral Link) and business customers for use of the "ZRG Compliance Standard" platform. Deviating customer terms apply only if expressly agreed in writing.
1. Scope and Services
ZRG Mineral Link provides a closed sourcing intelligence and compliance platform: material library, document validation, ZRG score, audit trail, market data terminal and optional API integration per plan. The platform is not a marketplace for physical commodities and does not create purchase contracts for minerals between ZRG and the customer.
2. Contract Formation and Admission
The contract is formed by: (a) customer application via onboarding form, (b) approval by ZRG (status "approved"), (c) activation after payment of the first invoice (status "active"). ZRG may reject applications without stating reasons (closed B2B platform).
3. Prices and Payment
All prices shown on the website are net prices in euros plus applicable VAT (currently 19% in Germany), unless stated otherwise. Enterprise pricing is set individually by quote. Billing is monthly via Stripe invoice. Payment terms: 14 days from invoice date unless otherwise agreed. ZRG may suspend access in case of payment default.
4. Usage Rights and Obligations
The customer receives a non-transferable, non-exclusive right of use for the contract term. User count and monthly validations depend on the selected plan. The customer must keep credentials confidential and use uploaded documents only within statutory due diligence obligations. Sharing platform access with third parties outside the company is prohibited.
5. Liability and Warranty
ZRG provides the platform with the care of a prudent merchant. Market data, risk scores and AI extractions are decision support only and do not replace the customer's own due diligence. Unlimited liability applies for intent, gross negligence and injury to life, body or health. For slight negligence, liability is limited to breach of essential contractual obligations and foreseeable typical damage. Liability for lost profit and indirect damage is excluded where permitted by law.
6. Term and Termination
Minimum term is one month from activation. The contract renews monthly unless terminated with 30 days' notice to month end. Extraordinary termination for good cause remains unaffected. After contract end, customer data is deleted or exported per the privacy policy.
7. Final Provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction for merchants is Saarbrücken where permitted.
